I was up at about 5:30 am, had prayer, and Rae Lynn called at 6 am.  She and her family were getting back from Palm Springs.  I had a voice message on my phone from Cade Wilson with Carroll MC Electric Company.  He was calling about an easement across the Old Jacksonville Road from the 60 acres Ora and I owned together.  I texted him and gave him Curt Lathon's and Dan Truitt's phone numbers.  I told him I am in Japan and will not be home until about April 14th, but will be glad to help Jeff Latyon anyway I can.  I worked on questions for Rich Faulker, attorney, tonight.  I emailed Elder Baylen Johnson, my nephew, and Elder Ethan Hobbs, my grandson, this morning.  Debbie and I had prayer together.  We went to the restaurant on the first floor and had a nice breakfast at the Westin Marriott with Matthew,  Melodie, Vickie, Bella, and Ava.  Debbie and my breakfast cost $75.00.  I am not accustomed to paying over $20.00 for the two of us.  After breakfast, we caught the train to the Cherry Blossom Japanese Gyoen Gardens.  Elain and Lori Lynn met us, and we took Ubers to the Shibuya Sky Observation Deck.  It was drizzling rain and a little cold.  Visibility was OK but not great.  We all got Ubers to Buzz Live Shibuya, famous for thick and fluffy pancakes where they flip Kisrki.  Elain had to go in and sit down.  She could not stand and wait for over an hour in line.  The food was really good and probably the best pancakes I had ever eaten.   Afterwards, Elain and Lori Lynn went back to their hotel.  Debbie and I caught an Uber with Vickie to Cappiness Shinjuku Shinjuku Capybara Cafe.  The girls fed and petted the capybara that are of the rodent family.  Afterwards we took two Ubers back to the Westin Marriott Hotel.  Matthew came to our room about 8 pm to get ready for our meeting with Rich, our attorney, at 11:00 pm.

Hi Rich,

I have put together some bullet points for our meeting today regarding the Reliable Health Care matters:

- A&M Purchase: The accountant has not been reached out to.  How should we structure this purchase for tax purposes?  (Katie will get something to Matthew's accountant and will present it to my accountant, Matt McCleary;  Matthew owns 2/3 of A&M Investment)

- Nursing Home Bed Fees: How can we avoid responsibility for the millions of dollars in fees Reliable Health Care owes to the state of Georgia?  (The lessor or landlord is not responsible, but the lessee or tenant.  If a new lessee or tenant takes over the operations, they will be responsible for the past bed fees.  They will have to be paid and then sue the old tenant, which in this case is Reliable Health Care, for the bed fees they did not pay.)

- Gateway Sale: If we sell Gateway to another party,

- What is Jan Morris’s likely recourse, and how can we mitigate that risk?

- From the latest email from David - do we hold any legal issues with Len's old business partners if we sell at a profit? (The answer to this question is NO.)

- Brokerage: Thoughts on having a broker list and sell Gateway.  If we sign with this broker, are we bound to sell, or can we continue with the loans if we can get them? (If the exception is named in the broker's contract, the broker is not paid.  If not, he has to be paid his commission.)

- Right of First Refusal: Should we grant her a right of first refusal?  Will this give her an option to tank any deal we get? (No, not unless Jan makes it worth our while.  We can notify of an offer to purchase and will accept the offer unless she makes a higher offer to purchase.)

- Lease Terminations:  (We have two, and maybe three items where Jan has broken the lease.)

- What are the possibilities of proving Reliable breached the Gateway lease by not cooperating on the financing?  (Good possibility)

- Given the lease interdependencies and Floyd being downgraded to a level-one facility, is this sufficient grounds to remove Reliable as the operator? (No possibility of breaking the lease on this point.)

- Conversation that we would Net the same with selling or by securing a loan:  (conversation was interesting)

- Maybe we would net the same, but we lose an entire asset long-term with the sale.

- Reliable LOI:  $3,900,000.00 (“Purchase Price”). A 10-year loan, $2,151,000 to pay off the $6,051,000 mortgage with an interest rate of 4% per annum, payable monthly. The loan will be paid through the rent paid by Chulio Hills Health & Rehab, LLC (“Chulio Hills”).  If the lease is terminated for any reason, the loan will balloon and is immediately payable.  Create an amended lease. (Interest for 10 years $462,339.60).   

Regarding the 10-year, $2,151,000 loan at 4% interest: it is payable monthly through rent from Chulio Hills Health & Rehab, LLC. Note that if the lease terminates, the loan balloons and becomes immediately payable.  (This LOI is not something I want to accept.)

- Concerning ownership on the matrix grid: (Answer below sent to Rich).   Matt %? 40%. Michael %? 40%. Jan %? 20%. (not Len) He has no interest in Rockmart is CORRECT

- Sell the entire thing, Gateway and Chulio Hill: Will Janie come after us if we sell Gateway to someone else?  Not ethical, but I fear Janie would do this.

- Talk to Mesa, who holds the Gateway bridge loan, because they have been trying to meet with us for 2 weeks and are going to start to get frustrated.

- What is the process of replacing reliable?  (Have someone who will accept the offer to take Reliable's place as the lessee.)

Overall - What are your thoughts?  (Rich to talk to the broker and to Masa.)
